By using https://newbiz.my or engaging NewBiz Corporate Services to provide services, you agree to the terms below.

1. Our services

We provide company secretarial services, company incorporation, accounting and tax preparation for businesses in Malaysia. The exact scope of each engagement is set out in a separate engagement letter, which prevails over these general terms if the two conflict.

2. What our services are not

Content on this site is general information only. It is not legal, tax or financial advice and should not be relied on for decisions without consulting a qualified professional about your specific situation.

Calculators and estimates on this site produce approximate figures. Actual figures depend on your circumstances and are confirmed before any filing is made.

3. Your responsibilities

• Provide accurate, complete and timely information
• Notify us of changes to directors, shareholders or addresses within 7 days
• Review and sign documents before the deadlines we communicate
• Ensure your business activities comply with Malaysian law

We are not liable for fines or penalties arising from late, incomplete or inaccurate information you provide.

4. Fees and payment

• Fees are quoted in Malaysian Ringgit and exclude SSM, LHDN and other statutory fees
• Recurring service fees are billed at the start of each period
• Invoices are payable within 30 days
• We may suspend services on accounts overdue by more than 60 days, after written notice
• Fees paid for work already commenced are non-refundable

5. Ending the engagement

Either party may terminate with 30 days written notice. On termination we will hand over all your statutory company records to you or your incoming secretary, once outstanding fees are settled.

Resignation as company secretary is governed by the Companies Act 2016, which requires notice to SSM and a statutory waiting period.

6. Confidentiality

We keep your business affairs confidential, except where disclosure is required by law or a regulatory authority. This obligation continues after the engagement ends.

7. Limitation of liability

To the extent permitted by law, our total liability for any claim is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

We are not liable for indirect losses, including lost profits, business opportunities or goodwill.

Nothing in these terms limits liability that cannot be limited by law, including for fraud or wilful misrepresentation.

8. Intellectual property

The content, design and code of this site belong to us. You may view and print it for your own use, but may not copy or redistribute it without written permission.

9. Changes to these terms

We may update these terms from time to time. Material changes will be notified by email to active clients at least 30 days before they take effect.

10. Governing law

These terms are governed by the laws of Malaysia, and the Malaysian courts have exclusive jurisdiction over any dispute.
